License
IntentSharp is source-available under the IntentSharp Source-Available Commercial License 1.0. It is not open source.
In short. You may evaluate IntentSharp free for 30 days. Personal use that is not for a business, and coursework and non-commercial academic research, stay free. Any use by or for a business after the evaluation, and any production use at any time, needs a paid license: see Pricing and the commercial license guide. This summary is not part of the license; the text below is.

Licensor: C2Consultants LLC

Software: IntentSharp
1. Definitions
1.1 "Licensor" means C2Consultants LLC.
1.2 "Software" means IntentSharp in source or compiled form, including its
documentation, samples and any NuGet packages built from it, and any
modification or derivative work of it.
1.3 "You" means the individual or legal entity exercising rights under this
license. If you accept this license on behalf of an organization, "You"
means that organization and every affiliate it controls.
1.4 "Business" means any for-profit entity, any individual acting for one, and
any organization that charges for goods or services, including
consultancies, agencies and contractors.
1.5 "Evaluation" means use of the Software by You for no more than 30
consecutive days from Your first use, only to test, assess or prototype
it, outside of any Production Use. The 30 days apply once per
organization and do not restart with a new version, a new project or a
new developer.
1.6 "Production Use" means any of the following:
a. running the Software, or software that depends on it, in any
environment that serves anyone other than the developer who is
evaluating it, including staging, pilot, internal tooling and customer
environments;
b. using output produced by running the Software, including generated
text, data, SQL or code, in or for the operation of a Business, or
relying on that output for any decision, record or deliverable;
c. any development, testing or build activity on behalf of a Business
after the Evaluation period has ended.
1.7 "Commercial License" means a separate, paid license for the Software
obtained from the Licensor in writing, as described in
COMMERCIAL-LICENSE.md.
1.8 "Contribution" means any code, documentation or other material You submit
to the Licensor for inclusion in the Software, for example by pull request,
patch or issue.
2. Free grant
2.1 Subject to the terms of this license, the Licensor grants You a worldwide,
non-exclusive, non-transferable, non-sublicensable, royalty-free license to
read, build, run, copy and modify the Software, only for the following
purposes:
a. Evaluation, as defined in section 1.5;
b. personal use by an individual, on the individual's own devices, that is
not for the benefit of any Business;
c. educational use by students and teaching staff at a school, college or
university, as part of coursework or non-commercial academic research;
d. preparing Contributions to the Software.
2.2 The free grant does not include any use listed in section 3, and it does
not include use by a non-commercial or open-source project beyond the
Evaluation period. Such projects may ask the Licensor for a free license
in writing; none is granted by this document.
3. Uses that require a Commercial License
3.1 You need a Commercial License from the Licensor before You do any of the
following:
a. any Production Use;
b. any use of the Software in, or in support of, a product or service that
is sold, licensed, rented or otherwise provided for a fee, including a
hosted or software-as-a-service offering;
c. any use by or for a Business other than Evaluation, including internal
tools, development and testing after the Evaluation period;
d. any redistribution of the Software, in source or compiled form, modified
or not, to any third party, including bundling it in another product or
package. Submitting a Contribution to the Licensor is not
redistribution.
3.2 The terms, scope, fees and duration of a Commercial License are set by the
written agreement or order under which it is issued. Where that agreement
conflicts with this license, the agreement controls for the licensee named
in it. Commercial Licenses are sold per named developer or per
organization, as described in COMMERCIAL-LICENSE.md.
4. No change date
4.1 This license has no change date. The Software does not convert to an open
source license or to any other license on any date or event. Only the
Licensor can grant rights beyond this license, and only in writing.
5. Conditions
5.1 You must keep this license file, and all copyright and license notices in
the Software, intact in every copy You make, including modified copies.
5.2 You must not sublicense, sell, rent or transfer Your rights under this
license, except as allowed by a Commercial License.
5.3 You must not remove, disable or alter the license notices that the
Software logs, including the notice it logs when no valid license key is
configured, and You must not circumvent the license-key check or the
version check that the Software includes, or any such check that a future
version of the Software may include.
5.4 License keys are confidential. A license key is issued to, and bound to,
the licensee named in it. You must not share a key with anyone outside
that licensee, publish it (for example in public source code, packages or
documentation), or use a key that was issued to someone else.
5.5 Once a year, at the Licensor's written request, You will certify in
writing the number of developers in Your organization who use the
Software. You also permit the Licensor, on 30 days' written notice, to
audit Your records relating to Your use of the Software. The audit is at
the Licensor's cost unless it finds that the number of developers using
the Software exceeds the number You are licensed for by more than 10
percent, in which case You pay the reasonable cost of the audit.
6. Trademarks
6.1 This license grants no right to use the names "IntentSharp" or
"C2Consultants LLC", or any related logo or trademark,
except to truthfully state where the Software came from.
7. Contributions
7.1 By submitting a Contribution, You grant the Licensor a perpetual,
worldwide, non-exclusive, irrevocable, royalty-free license to use, copy,
modify, sublicense and distribute the Contribution, under any license
terms, including commercial terms, and You waive any claim to royalties
or other compensation for it.
7.2 You confirm that You have the right to grant that license and that the
Contribution is Your original work or that You have the rights to submit
it.
7.3 Submitting a Contribution grants You no license of any kind to the
Software beyond the free grant in section 2. In particular it does not
grant, discount or extend a Commercial License.
8. Warranty disclaimer
8.1 THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND
NON-INFRINGEMENT. YOU ARE RESPONSIBLE FOR CHECKING ANY OUTPUT THE SOFTWARE
OR ANY AI MODEL IT CALLS PRODUCES BEFORE RELYING ON IT.
9. Limitation of liability
9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE LICENSOR BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR
PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL,
ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS LICENSE, HOWEVER CAUSED
AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES.
9.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR'S TOTAL LIABILITY
UNDER THIS LICENSE WILL NOT EXCEED THE AMOUNT YOU PAID THE LICENSOR FOR
THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US
DOLLARS (USD 100) IF YOU PAID NOTHING.
10. Termination
10.1 This license ends automatically if You breach any of its terms.
10.2 If You cure the breach within 30 days after the Licensor notifies You of
it, and it is Your first breach, Your license is reinstated. Using the
Software in a way that needs a Commercial License, without one, is a
breach, and the Licensor may invoice You for the Commercial License fees
that would have applied from the first day of that use.
10.3 When this license ends, You must stop using the Software and delete all
copies in Your possession or control. Sections 5.4, 5.5, 6 through 9,
10.2 (the Licensor's right to invoice), 10.3, 11 and 12 survive
termination.
11. Governing law
11.1 This license is governed by the laws of the State of North Carolina,
United States, without regard to its conflict of law rules. The state and
federal courts located in North Carolina have exclusive jurisdiction over
any dispute arising from this license, and You consent to that
jurisdiction.
12. Entire license and contact
12.1 This license is the entire agreement between You and the Licensor about
the free grant. A Commercial License may add to or replace these terms
for its licensee.
12.2 If any part of this license is held unenforceable, the rest stays in
effect.
12.3 To buy a Commercial License or ask about these terms, email
licensing@c2consultants.net or read COMMERCIAL-LICENSE.md.
