Terms of sale

These terms apply when you buy an IntentSharp license from C2Consultants LLC ("we", "us"). Questions about them go to licensing@c2consultants.net.

1. What you buy

You buy an annual subscription to a commercial license for IntentSharp, in the edition you choose: Developer, Team, Business or Enterprise online, or OEM and redistribution by quote. The editions, what each covers and the rules that apply to every edition are on the pricing page.

The license terms in LICENSE govern your use of the software. The commercial license guide describes the editions, what a license includes and how the license key works.

2. Prices, tax and payment

Prices are in US dollars, billed yearly in advance. Tax is added at checkout where it applies. The price you pay is fixed for the term you have paid; prices for future terms may change.

Online purchases are paid by card through Stripe, which runs the checkout page and processes the payment. Card details go to Stripe and never reach our servers. Purchases by quote are invoiced, and the invoice says how to pay it.

3. Delivery

Delivery is electronic. There are no physical goods and nothing is shipped. Your license key is emailed to the address given at checkout when the payment completes, or, for a purchase by invoice, once the payment is received. If it has not arrived within one business day, check the spam folder and then contact us.

4. Renewal

A subscription renews automatically at the end of each yearly term, and the payment method on file is charged for the next term, until you cancel. When a renewal is paid, a new license key for the new term is emailed to the billing email address.

5. Cancellation

You can cancel at any time by emailing licensing@c2consultants.net from the address on the subscription. Cancelling stops renewal; the paid term runs to its end, and you keep the license until then.

After a subscription ends you keep the fallback right described in the commercial license guide, for the terms you paid for and were not refunded: you may keep using any version of IntentSharp released on or before the lapse date, without updates, fixes or support. For 30 days after the renewal date you can renew without a new evaluation; after that, a new order is needed.

6. Refunds

Every edition can be evaluated free for 30 days before you buy, so payments are non-refundable, with one exception. Within 14 days of the first payment for a subscription, we refund that payment in full if the license key does not work and we cannot fix it. To ask for this refund, email licensing@c2consultants.net with the license id and what goes wrong.

A refund ends the license for that term. A refunded purchase carries no fallback right (section 5), and the refunded license key must no longer be used. Renewal payments are not refunded; cancel before the renewal date to stop the next charge.

7. Discounts and quotes

Three-year prepaid terms receive a 10 percent discount. Non-profit organizations and accredited educational institutions buying for administrative (non-coursework) use receive 25 percent off Team and Business. These discounts, three-year terms and OEM licenses are quoted by email.

8. Problems and disputes

If something is wrong with a purchase, contact us first at licensing@c2consultants.net so we can put it right.

9. Governing law

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of law rules, as the license is.
